Slate Terms of Use

These Terms of Use ("Terms") govern your access to and use of slatecontests.com (the "Site"), which is operated by Suroh Group LLC, a Wyoming limited liability company, doing business as Slate ("Slate," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

About this Site

This Site is an informational and marketing website about Slate and the competition platforms we build and operate for our clients. The Site itself does not host contests, accept entries, collect entry fees, or run voting. Any contest you may participate in is operated on a separate platform under its own terms and official rules, which are not governed by these Terms.

Eligibility

You must be at least 18 years old and able to form a binding contract to use this Site. By using the Site, you represent that you meet these requirements, and if you are using it on behalf of a company or other organization, that you have authority to bind that organization to these Terms.

Acceptable use

You agree not to:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • copy, scrape, harvest, or collect content or information from the Site using automated means without our permission;
  • attempt to gain unauthorized access to the Site, its servers, or any related systems;
  • interfere with or disrupt the operation, security, or integrity of the Site;
  • reverse engineer or attempt to derive the source code of any part of the Site, except where this restriction is prohibited by law; or
  • use the Site to infringe the intellectual property or other rights of any person.

Intellectual property

The Site and its content, including the Slate name, logo, text, graphics, design, and other materials, are owned by Suroh Group LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own informational and business purposes. You may not copy, modify, distribute, sell, or create derivative works from the Site or its content, and you may not use our name, logo, or trademarks without our prior written permission.

Feedback and submissions

If you send us ideas, suggestions, or other feedback about Slate or the Site, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, with no obligation or compensation to you. Please do not send us information you consider confidential, because we cannot treat unsolicited submissions as confidential.

The Site may contain links to third-party websites or services that we do not own or control. We provide these links for convenience only, and we are not responsible for the content, policies, or practices of any third party. Your use of any third-party site is at your own risk and subject to that site's terms.

The Site and all content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Limitation of liability

To the fullest extent permitted by law, Suroh Group LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Site will not exceed one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify and hold harmless Suroh Group LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site or your violation of these Terms.

Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after we post changes means you accept the updated Terms.

Termination

We may suspend or restrict your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any other reason.
